ChromoGenics AB (publ) Rights Issue February - March 2022

ChromoGenics is a proptech company that produces dynamic glass for real estate. The real estate industry needs to do something concrete with ESG (Environmental, Social and Governance), both socially and for the climate. Therefore, the interest in proptech has exploded. Proptech stands for Property Technologies and involves the application of new technology and digitization for the real estate sector.ChromoGenics is in a unique position as our innovative products make a big difference both for the climate and socially. Our smart, dynamic glass contributes to 20-40% reduced energy use, lower operating costs and reduced CO2 emissions which gives companies the opportunity to meet the criteria for various environmental certifications. Daylight and views have also been shown to have a great social impact as it improves our cognitive abilities, our productivity, reduces the risk of depression and makes us sleep better.

Subscriptions and warranty commitments
Subscription commitments of approximately SEK 6,6 million and warranty commitments of approximately SEK 47,9 million have been entered into, which corresponds to approximately 79.9% of SEK 68.2 million.

Preference rights and subscription rights
Anyone who was registered as a shareholder at the record date February 15th of 2022 has preference rights to subscribe for shares in the Rights Issue. Each share entitles to one (1) unit right and three (3) unit rights entitle to subscribe for one (1) unit. One unit consists of four (4) shares and four (4) warrants of series 2022/2023: 1. In addition, shareholders and other investors are being offered without preferential right to register an interest in subscribing for new shares.

Trade with BTA
Trade with BTU will occur at Nasdaq First North Growth Market starting February 17th 2022 until conversion of BTU to shares and warrants, which is expected to take place about a week after the Company has registered the issue.
